Terms of service

These Terms of Service ("Terms") govern your access to and use of the Alygn platform, websites, and related services (collectively, the "Service") provided by Alygn Inc. ("Alygn," "we," "us," or "our"). By creating an account, signing in, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The Service

Alygn is a work-alignment and productivity platform. It helps teams prioritize tasks, capture meeting outcomes, measure alignment, and use AI-assisted features. Features may vary by plan, region, and configuration. We may update, add, or remove features with reasonable notice where practicable.

2. Accounts and eligibility

You must provide accurate registration information and keep your account credentials secure. You are responsible for all activity under your account. You must be at least 16 years old (or the minimum age required in your jurisdiction) to use the Service. Access may be invitation-only or subject to your employer's policies when provided through an organization account.

3. Acceptable use

You agree not to:

  • Violate any law or third-party rights;
  • Upload malware, attempt unauthorized access, or disrupt the Service;
  • Reverse engineer or scrape the Service except as permitted by law;
  • Use the Service to send spam or unlawful content;
  • Misrepresent AI-generated output as human-authored where doing so would be deceptive or harmful;
  • Process personal data through the Service without a lawful basis and appropriate notices.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a security risk.

4. Customer content and licenses

You retain ownership of content you submit to the Service ("Customer Content"), including tasks, notes, meeting transcripts, and uploaded files. You grant Alygn a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to operate, secure, and improve the Service and as otherwise described in our Privacy Statement.

You are responsible for Customer Content and must have all rights necessary to provide it. Do not submit sensitive categories of data (such as health or financial records) unless your organization has expressly configured the Service for that purpose and you have a lawful basis to do so.

5. AI and automated features

Parts of the Service use artificial intelligence and automation. Outputs may be inaccurate or incomplete. You should review AI suggestions before relying on them for decisions with legal, financial, or safety implications. Alygn does not provide professional advice.

6. Integrations

The Service may connect to third-party services (for example, Microsoft 365 via Microsoft Graph). Your use of those services is governed by the third party's terms. You authorize Alygn to access data you connect, only as needed to provide the integration features you enable. You can disconnect integrations through your account settings where available.

7. Subscription, fees, and trials

Paid plans, if offered, are billed according to the order form or checkout page you accept. Fees are non-refundable except where required by law or stated in your agreement. We may change prices on renewal with advance notice. Free trials convert to paid plans unless you cancel before the trial ends.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms and will protect it with reasonable care. This section does not limit our use of data as described in the Privacy Statement.

9. Intellectual property

Alygn and its licensors own the Service, software, branding, and documentation. Except for the limited rights expressly granted, no rights are transferred to you. Feedback you provide may be used by Alygn without restriction or compensation.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALYGN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALYGN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ALYGN IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, the above limits apply only to the extent permitted.

12. Indemnification

You will defend and indemnify Alygn against claims arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law, except to the extent caused by Alygn's gross negligence or willful misconduct.

13. Term and termination

These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may terminate or suspend the Service or your account with notice where required by law, or immediately for material breach or security reasons. Upon termination, your right to access the Service ends; we may delete Customer Content after a reasonable retention period unless law requires otherwise.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there, except where mandatory consumer protection laws in your country require otherwise.

15. Changes

We may update these Terms from time to time. We will post the revised version and update the "Last updated" date. Material changes will be communicated via the Service or email where appropriate. Continued use after the effective date constitutes acceptance.
